Unless otherwise agreed, upon full payment for the services, the client will own all intellectual property rights in the final delivered website or software. UpVantage LLC retains ownership of any pre-existing intellectual property, tools, and methodologies used in the development process.

5. Payment and Refunds

The client agrees to pay for the services according to the agreed-upon payment schedule. If the client is not satisfied with the delivered product or service, UpVantage LLC will work with the client to address their concerns. If a resolution cannot be reached, UpVantage LLC may offer a refund at its sole discretion.

6. Data Collection and Privacy

UpVantage LLC collects client names and email addresses for communication purposes. We may use analytics tools, such as Google Analytics, to improve our services. We will handle all client data in accordance with our Privacy Policy and applicable data protection laws.

7. Disclaimers and Limitation of Liability

UpVantage LLC will make reasonable efforts to deliver the services as agreed. However, we make no warranties, express or implied, regarding the performance, merchantability, or fitness for a particular purpose of our services. In no event shall UpVantage LLC be liable for any indirect, incidental, special, or consequential damages arising out of or related to the use of our services.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming. Any disputes arising out of or relating to these Terms shall be resolved through good faith negotiations. If a resolution cannot be reached, the parties agree to submit the dispute to mediation before proceeding with any other legal action.
